PHLEX Label – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website, services, and products provided by PHLEX Label, operated by PHLEX Official LLC, a Wyoming-registered entity (“we”, “us”, “our”). By using our site and services, you agree to these Terms.

1. Account Registration

You must create an account to place orders or use our resale marketplace. You agree to provide accurate information and are responsible for maintaining the confidentiality of your account credentials.

2. Products & Sales

We sell physical clothing, including limited-edition and in-stock items. Some items may be auctioned or listed for resale. Once an order is placed, it cannot be cancelled.

We only offer refunds for items that arrive damaged. You must report issues within 7 days of delivery by emailing team@phlexlabel.com with photographic evidence. Return shipping is the customer’s responsibility and original shipping charges are non-refundable. See our full Refund Policy for details.

5. Payments & Taxes

5.1. Payments

All payments are processed via Stripe. We accept credit cards only. Transactions are encrypted and secured by third-party processors.

5.2. Taxes & Duties

All listed prices are exclusive of any customs duties, import fees, value-added tax (VAT), goods and services tax (GST), sales tax, or similar governmental charges (“Taxes”).

Direct Purchases: You are solely responsible for determining, declaring, and paying any Taxes that apply to your order. PHLEX Label does not collect or remit such Taxes on your behalf.
Marketplace Purchases: PHLEX Label does not collect, remit, or assume liability for Taxes arising from peer-to-peer transactions. Buyers and Sellers are individually responsible for complying with all local tax laws and reporting obligations.

PHLEX Label is not liable for packages held, delayed, or rejected due to unpaid import duties or taxes.

We do not provide tax advice. Where legally required, we may supply a summary of your Marketplace activity, but compliance with tax obligations remains yours alone.

6. Marketplace Buyer Terms

By purchasing goods through the PHLEX Label peer-to-peer resale marketplace (the “Marketplace”), you agree to the following terms in addition to all other sections of these Terms:

6.1 Platform Role

The Marketplace is a venue that allows independent sellers (“Sellers”) to offer items directly to buyers (“Buyers”). PHLEX Label is not the seller of record and is not a party to any resale transaction. We do not control, endorse, guarantee, or assume responsibility for (1) the existence, quality, safety, authenticity, or legality of any listed item; (2) the truth or accuracy of Sellers’ content or listings; or (3) the ability of Sellers to complete a transaction or ship items.

6.2 Order Process

Once you place an order, the Seller is solely responsible for accepting, fulfilling, packaging, and shipping the product. Title and risk of loss for the item pass directly from Seller to you at the moment of shipment.

6.3 Payments & Refunds

By purchasing goods through the PHLEX Label peer-to-peer resale marketplace (the “Marketplace”), you agree to the following terms in addition to all other sections of these Terms:

6.1 Platform Role

Payments are processed through our payment service provider on behalf of Sellers. Refunds, returns, or exchanges—if offered—are governed solely by the Seller’s posted policy. PHLEX Label does not issue refunds for Marketplace purchases except where required by law or explicitly stated.

6.4 Disputes with Sellers

PHLEX Label does not mediate or resolve disputes between buyers and sellers. If an issue arises—such as non-delivery, item condition, or misrepresentation—buyers may report it to us so we can retain a record of the transaction. PHLEX will not take sides or offer compensation, but we will cooperate with law enforcement if a formal investigation is initiated and relevant information is lawfully requested.

6.5 Prohibited Behavior

Buyers may not:

We may suspend or terminate Marketplace access—or the entire account—without notice if you violate these Terms, engage in fraudulent activity, or create risk or legal exposure for us or other users.

6.7 Marketplace-Specific Limitation of Liability

To the fullest extent permitted by law, PHLEX Label, its owners, employees, and affiliates are not liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to Marketplace transactions. Our total aggregate liability, if any, is limited to the amount of Marketplace fees (not purchase price) we actually received for the transaction in question.

7. Prohibited Conduct

You may not:

8. Intellectual Property

All site content—including logos, product images, designs, text, and code—is owned by PHLEX Official LLC and may not be reused or replicated without express written permission.

9. Limitation of Liability

To the fullest extent permitted by law:

PHLEX Label is not liable for delays, indirect losses, lost profits, or product misuse.
For Marketplace transactions, see the additional limitations in § 6.7.
Our total liability for any claim relating to direct sales is limited to the purchase price actually paid to us for the product giving rise to the claim.

10. Governing Law

These Terms are governed by the laws of Wyoming, USA. Any disputes must be resolved exclusively in the state or federal courts located in Wyoming.

11. Changes to Terms

We may update these Terms at any time. Changes take effect immediately when posted. Continued use of the site after an update constitutes acceptance of the revised Terms.
